Can Brands Use UGC in Paid Ads? 12 Rights Terms to Agree + Free UGC Advertising Rights Template (Word)
Yes—but receiving a finished video does not automatically give a brand unlimited advertising rights. Before production or delivery, define the channels, ad account, term, territory, edits, music, source files, exclusivity and takedown process. “Worldwide, perpetual, all media” sounds simple but often creates the largest mismatch between price, need and risk.
Separate four types of permission
Permission | Brand can | Agree in advance | Common risk |
|---|---|---|---|
Organic use | Repost or upload on brand profiles | Channels, term, territory | Treating reposting as ad rights |
Paid media | Promote asset from brand account | Platforms, account, period, spend | Uncleared music or talent |
Creator-identity ad | Promote creator post or identity | Permission, post, revocation process | Platform toggle without contract |
Derivative edits | Change duration, captions, ratio and CTA | Permitted edits and material approval | Recut changes the meaning |
Permission to repost on a brand profile is organic usage. Running a partnership ad through a creator's identity or post requires platform permission and agreement. Meta says content-level permissions can let a creator authorise promotion of a specific post, Story or Reel, but that platform control is not a complete commercial contract.
Complete all 12 licensing fields
Define: 1 licensee; 2 asset list; 3 organic channels; 4 paid-media channels; 5 ad account and identity; 6 term; 7 territory; 8 permitted edits; 9 music, fonts, locations and third-party material; 10 source files and formats; 11 exclusivity; and 12 expiry, renewal, takedown and archive treatment. “All usage rights included” is not a substitute.
Platform permission, copyright ownership and licence are different
Platform permission answers whether the system allows an ad. The contract records what the parties agreed. Copyright determines who owns the work and who may license it. Hong Kong's Intellectual Property Department notes that copyright ownership in commissioned works depends on the parties' agreement. For many SME campaigns, a clear time-limited licence is more practical than a perpetual buyout.
Music cleared for a post may not be cleared for advertising
A popular track available to a creator may not include commercial advertising rights. TikTok recommends using its Commercial Music Library for content that promotes a brand, product or service. Before cross-platform reuse, check music, sound effects, images, talent, locations and fonts. Delivering one organic version and one ad-safe version is a practical safeguard.
Put boundaries around editing
Brands may need shorter cuts, captions, CTAs, aspect ratios, covers and new opening hooks. They should not reconstruct a creator's words into the opposite meaning. State which edits are pre-approved, which material changes require creator review, and who owns responsibility for product claims. AI voice, face or derivative versions require separate explicit consent.
Hong Kong planning budget and timing
For one 15–45 second UGC asset, plan roughly HK$3,000–15,000 for creation, filming and a basic edit; HK$2,000–20,000+ for a 30–90 day paid-media licence; and HK$1,500–8,000 for six ad cut-downs. Wide territories, long terms, competitor exclusivity and creator-identity ads increase cost. Allow two to five weeks for briefing, filming, review and rights. These are Allua planning ranges, not creator quotations.

How to use it: choose one explicit answer per field; write N/A when irrelevant; and have the brand, creator and media buyer review it before delivery. Example: “Brand may publish organically on its Hong Kong Instagram and Facebook accounts for 90 days; paid promotion from the named brand ad account for 30 days; 6-, 15- and 30-second edits permitted without changing the endorsement; cleared music only.”
01 | Licensee
Name the legal company, brand and approved agency; avoid “all affiliates” without definition.
02 | Assets
List each video, photo, thumbnail, caption, source file and version number.
03 | Organic channels
Specify website, email, in-store screens and each social profile.
04 | Paid media
Name Meta, TikTok, YouTube or other channels instead of “all platforms”.
05 | Ad identity
Brand account, creator account or a named partnership post; confirm platform permission separately.
06 | Term
Set start, stop, organic-retention and renewal-decision dates.
07 | Territory
Hong Kong, named markets or worldwide; reconsider value and compliance as scope expands.
08 | Edits
Allow defined durations, ratios, captions, CTAs, covers and translations; reapprove material meaning changes.
09 | Third-party material
Confirm music, imagery, fonts, talent and locations are cleared for the intended commercial use.
10 | Source files
Define delivery, format, resolution, storage period and any preparation fee.
11 | Exclusivity
Define competitors, territory and term; avoid an unlimited ban across a whole industry.
12 | Expiry and takedown
Set renewal, ad stop, archive, printed-material and urgent takedown procedures.
Frequently asked questions
Is a buyout always best?
No. A perpetual worldwide buyout can cost more than the campaign needs. License the channels and period required, then renew proven assets.
What if the creator revokes platform permission?
Platform operability and contractual rights are separate. The agreement should cover notice, cure, ad suspension and asset-transition steps.
Can the same UGC be adapted into another language?
Yes when translation, captions or dubbing are licensed. Reconfirm if the adaptation changes the endorsement, product claim or the creator's voice.
What evidence should the brand retain?
Keep the final brief, asset versions, licence, platform-permission records, approvals, music source, campaign dates and takedown log.
